TXSNOW

Parties & acceptance

Service provider

16990096 Canada Inc., carrying on business as TXSNOW (referred to below as “TXSNOW”).

Purchaser

The person identified as the purchaser in the order. A student is the person who actually participates in the session. Anyone arranging sessions for a minor must have the appropriate guardianship or other authority. Paying for someone else does not, by itself, authorise the payer to sign every document on that person’s behalf.

Acceptance of the agreement

Before the agreement is entered into, TXSNOW provides this agreement and the complete order details. The purchaser accepts by signing or providing an electronic confirmation that can be retained. TXSNOW provides the purchaser with a record of the parties’ confirmations, the applicable version of the terms and a copy of the order for their records. Payment or attendance alone does not replace any notice, signature or separate authorisation required by law.

The complete agreement

All 11 sections are included below. Open or close sections as you read.

01

Definitions & applicable documents

Sessions

Sessions include regular snowboard or ski instruction, the Kids Master Program (KM), multi-student sessions, 2:4 Dynamic Group Sessions and Snow Buddy Time, as specified in the order. “1:x” means one instructor with multiple students; “2:4” means two instructors working together with four students.

Session modules & combinations

KM is a skills instruction module. The Snow Buddies Discovery Program focuses on companionship, building comfort on snow and shared experiences; its individual modules are called Snow Buddy Time. Combined sessions consist of the modules purchased.

Confirmed bookings & unscheduled sessions

A confirmed booking must specify the date, start and end times, resort and session arrangements. “Unscheduled” means that the session remains available for use, but no new time slot has been reserved. An “unreserved session” is an arrangement the student chooses while waiting for an instructor to be matched on site or at short notice; see section 7.

Applicable documents

This agreement, the order confirmed by both parties and the specific policies provided before acceptance together form the service agreement. The Waiver and any separate authorisations apply within their respective scopes. This version incorporates the Session Rescheduling & Cancellation Policy 2026v2.5, the Punctuality, Lateness & Child Drop-off and Pickup Policy 2026v2.4, and the Guest & Website Visitor Privacy Policy 1.1.

Conflicting terms

Mandatory legal requirements take precedence. The order may specify the sessions, prices and any other arrangements agreed by both parties. General statements in older FAQs, posters or notices do not override the express terms of this agreement. Promises that legally form part of the contract must still be honoured.

02

Ordering, payment & session use

Order details

Before purchase, the order must state the purchaser’s name and contact details, the date of the agreement, and TXSNOW’s business address and telephone number. It must also specify the students, ski or snowboard discipline, session type, number of participants, age group, instructor level, module duration, number of sessions, price, discounts, taxes and payment arrangements. If the resort or date has not been decided, it must be clearly marked as unscheduled, with the available locations and booking conditions explained.

What the price covers

All amounts are in Canadian dollars. Applicable taxes are shown in the order. Unless the order expressly states otherwise, session fees exclude lift tickets, equipment rental, transportation, accommodation, meals and other third-party charges. The scope of any promotion and whether discounts can be combined are governed by the promotional terms disclosed and confirmed before purchase.

Payment & booking confirmation

Bookings are arranged after the amounts due have been paid under the payment terms agreed by both parties. The specific time slot must be confirmed by TXSNOW. This provision does not exclude any instalment payment option available under applicable law; any legally required instalment plan and amounts must be set out before acceptance. If payment has been received but the confirmed service cannot be provided, TXSNOW must propose alternative arrangements.

Session validity

Single sessions and Combos of 5, 10, 20 or other numbers of sessions are valid for 24 months from the purchase date. Sessions may be booked across ski seasons within that period. The expiry date must be stated in the order. Expired sessions are not automatically extended or redeemable for cash.

Rebooking & changing session arrangements

Rebooking is subject to availability. Price changes, a different resort, instructor level, session type or age group are handled under the rules disclosed at purchase. Before confirmation, TXSNOW Support must explain the credit value of the original session, the applicable price, any balance payable and changes to discounts. The change is made only with the purchaser’s agreement; undisclosed charges are not added automatically.

Sharing sessions & changing students

Sessions purchased together in a multi-session order may be allocated to family or friends in the same or an older age group, subject to the rules of the product purchased. This does not increase the number of participants in each session. The actual students’ details must be provided when booking. Any other transfer or substitution during a session requires prior confirmation from TXSNOW or the instructor that eligibility and safety requirements are met. The new student may join only after completing the current season’s Waiver and PRE-SESSION INTAKE FORM and having them verified. Preparation and handover do not extend the original end time.

Advance booking & additions on site

KM modules can be combined. A total of at least 2 hours, including exactly 2 hours, qualifies for advance booking of an instructor’s time. A module shorter than 2 hours may be purchased separately after confirmation if the instructor is already at the resort, has availability and accepts the arrangement. For additions made on site, the duration, price and end time must be confirmed.

03

Arrival & equipment

Be ready on time

Sessions run at the confirmed start and end times. Please purchase tickets, collect rental equipment, get dressed and use the washroom before arriving at the meeting point on time. Delays caused by traffic, parking, queues or personal preparation count towards the booked session time; the end time is not extended and no make-up time is provided.

Recommended arrival time

If you need to buy tickets or rent equipment on site, arrive at the resort 1–1.5 hours early on weekdays. Allow 2–3 hours on weekends, holidays and during peak periods, with extra time as conditions require.

Helmets & equipment

Students and instructors must wear an appropriate, properly fitted helmet correctly during activities on snow. Activities must not begin if a student is not wearing a helmet as required or their equipment is clearly unsafe. Time lost because a student is not adequately prepared is treated as a student-caused delay. Equipment and bindings should be inspected and adjusted by a suitably qualified professional. Neither the instructor nor TXSNOW is responsible for damage resulting from defects, normal wear or equipment malfunction, or for equipment the student loses, unless there is evidence that the damage or loss resulted from improper handling, inadequate safekeeping or other fault on the part of the instructor or TXSNOW.

Instructor safety violations

If an instructor is not wearing a helmet as required, the student may refuse to take part in the activity and contact TXSNOW. Any resulting delay or failure to deliver the session is treated as instructor-caused. If the session cannot continue for this reason, unused session time is retained and compensation equal to twice the duration of that session is provided. This is not added to no-show compensation for the same incident.

04

Safety & conduct

Pre-session documents

Before their first session each season, every student must separately complete that season’s Waiver and PRE-SESSION INTAKE FORM, using their legal name as shown on identification. The student or an authorised guardian must sign as required by each form. Sessions cannot begin until completion has been verified. Relevant information must be updated promptly if circumstances change.

Relevant information

Please privately disclose recent injuries or illness, allergies, activity restrictions and any communication or support needs relevant to safe participation. TXSNOW collects only information needed for session safety and reasonable arrangements; unrelated complete medical records are not required.

Safety directions

Students must follow the instructor’s directions, resort signs, and rules for closed areas and work zones. They must not stop in hazardous locations, including places hidden from uphill traffic, trail merges, directly beneath lifts or in work areas. Instructors may adjust routes, intensity and activities to account for traffic, snow conditions, ability and fatigue.

Unsafe conduct

If a student is visibly impaired by alcohol or drugs, refuses necessary safety directions or behaves in a way that endangers others, the instructor may refuse to begin the session or stop the activity immediately and notify TXSNOW. Session time not completed because of such conduct is not refunded, rescheduled or made up, subject to statutory rights and the exceptions in section 9.

Incident response

If a collision, injury or dispute occurs, the instructor’s priority is the student’s safety. The instructor contacts Ski Patrol, seeks emergency medical assistance when necessary, and notifies the guardian and TXSNOW. The instructor must stay with and look after the student, and must not pursue the person believed to have caused the incident, even after Ski Patrol arrives. Ski Patrol or police lead the identification process, exchange of information and incident documentation.

05

Session formats & delivery

Session arrangements

Children under 12 receive one-to-one instruction. Siblings, or a parent and child, cannot be combined into a session taught simultaneously by one instructor. Students aged 12 and over may choose eligible regular one-to-one, multi-student or 2:4 Dynamic Group Sessions. All four students in a 2:4 Dynamic Group Session must choose the same discipline; skiing and snowboarding are not combined. The two instructors work flexibly as a team, rather than dividing permanently into two groups of one instructor and two students.

Instruction & companionship

Instruction takes account of the student’s ability, goals and condition on the day. Sessions do not guarantee mastery of a particular skill within a fixed time. Snow Buddy Time focuses on building comfort, companionship and riding together. It may include demonstrations and brief pointers, but does not replace structured technical explanations and skill-building exercises. Beginners whose goal is to learn basic speed control, stopping and turning should choose an instructional session.

Regular & KM session delivery

Before the session, the instructor learns about the student, discusses realistic goals and confirms the meeting point. The purchased modules are delivered as agreed. One video is recorded near the beginning, one in the middle and one towards the end of the session, along with a photo of the instructor and student together. Individual post-session feedback for each student is completed and provided to the student or parent within 48 hours after the session. Group post-session feedback does not replace individual post-session feedback in multi-student sessions.

Snow Buddy Time delivery

Delivery includes learning about the student beforehand, discussing goals and the meeting point, providing the agreed companionship and taking a photo together. Three videos and individual post-session feedback are not mandatory. Combined sessions follow the requirements applicable to each module. If safety needs, adverse conditions on site or image-consent arrangements affect filming or photography, the reason is explained and TXSNOW Support coordinates reasonable alternatives.

Incidents in multi-student sessions

In a 1:x session, the session may be paused or end early if a student is injured or unwell and the instructor needs to accompany them for medical care or deal with the incident. In a 2:4 session, one instructor normally accompanies the student leaving the group, while the other continues with the remaining students if safe to do so. The temporary ratio may be 1:3, 1:2 or 1:1. If an instructor leaves because of their own injury or illness, the remaining instructor may temporarily lead all four students only if the group can be managed safely.

Injury, illness & pauses during sessions

Time missed because of a student’s own injury, illness, discomfort or rest, or because of the multi-student incident response described above, is generally not refunded, rescheduled or made up. If safe participation becomes possible again within the original time slot, the remaining time may be completed. This restriction does not apply to losses caused by a breach of contract or negligence by TXSNOW or the instructor, or where the law provides otherwise.

06

Kids Master Program & child drop-off and pickup

Age groups & session selection

KM is for children aged 1–11, with one-to-one service provided by a KM instructor who meets the requirements for the relevant age group. Common modules and combinations are shown below. The modules actually purchased must be specified in the order.

Age groupSkills instruction moduleTypical 2-hour arrangement
Ages 1–4 · Snow Munchkins45 minutes of KM45 minutes of KM + 75 minutes of Snow Buddy Time
Ages 5–7 · Little Heroes90 minutes of KM90 minutes of KM + 30 minutes of Snow Buddy Time
Ages 8–11 · Young Adventurers2 hours of KM2-hour KM skills session

Adjusting the age group or module

An adjustment may be requested based on ability and stamina. A child may enter the next age group no more than 1 year early—for example, a 4-year-old applying for the 5–7 group—subject to assessment and parental consent. A shorter skills module combined with Snow Buddy Time may also be requested. Adjustments do not change the one-to-one requirement for children under 12.

Teaching approach & adjustments on the day

KM uses a Montessori-inspired approach, with an emphasis on the child’s interests, sense of security and safe habits. If a child is tired, upset or temporarily not ready for technical learning, but can still safely take part in low-intensity activities, the instructor may immediately switch to Snow Buddy Time activities such as snow play, getting comfortable with equipment, gentle activities or an indoor break. Prior parental consent is not required for this adjustment; the parent will be notified as soon as practicable.

Pausing or ending a session

If a child continues to refuse participation, they will not be forced to continue. The parent will be contacted to confirm whether to end the session early. If the child is clearly unwell, has an abnormal body temperature or should not continue, the activity must stop immediately and the parent must be contacted; Ski Patrol assistance is sought first when necessary. Time not completed because of adjustments or an early finish due to the child’s own condition is not made up or refunded. A temporary change does not automatically entitle the purchaser to a refund of the price difference. The exceptions in section 9 still apply.

Guardians & care needs

Parents may leave only after the instructor has clearly accepted responsibility for the child. They must remain reachable by phone and be able to return promptly when requested. The Snow Buddies Discovery Program is not a childcare service. Parents must assist with toileting, eating or other care that was not agreed in advance. This arrangement does not remove TXSNOW’s or the instructor’s safety duties while leading and looking after the child.

Pickup Code handover

Before the session, set up the Pickup Code as instructed. Share it only with authorised pickup persons, not in the group chat. At the end of the session, the pickup person enters the code on the designated webpage in the instructor’s presence. The child is released only after the instructor verifies the code and confirms that the form has been submitted. Give advance notice of any change in pickup person. If the code does not check out, or there is reasonable doubt about identity or authorisation, confirm with the guardian before releasing the child.

Pickup time & late pickup charges

The parent or authorised pickup person should return to the meeting point 15 minutes before the session ends. From the original scheduled end time, additional supervision is charged at the applicable Snow Buddy Time rate disclosed before purchase, in 15-minute increments. Any part of an increment is charged as a full 15 minutes: a 7-minute delay is charged as 15 minutes, and an 18-minute delay as 30 minutes. If pickup is late, the instructor continues looking after the child and contacts the parent and TXSNOW.

07

Booking changes, cancellations & refunds

Timing & notice

Notice periods are measured from the start time of the currently confirmed session, using the resort’s local time. For an ordinary rescheduling or cancellation request, post in the session group chat; the time the message is sent is the notice time. If the group chat cannot be used, contact TXSNOW Support through the channels in section 10 and keep a record. The group-chat requirement does not restrict the methods of notice available when exercising statutory cancellation rights.

Booking changes requested by guests

Notice or circumstancesWhat happens
At least 24 hours before the start, including exactly 24 hoursYou may request rescheduling, or cancel the booking and leave the session unscheduled, retaining unused session time. A new date is subject to instructor availability and capacity.
Less than 24 hours before the startThe booking is locked in. Ordinary rescheduling or cancellation is not accepted. A last-minute cancellation or failure to attend counts as use of that session.
Purchased or confirmed less than 24 hours before the startThe booking becomes locked in as soon as it is confirmed, and the same rules apply.
Official resort closureAffected sessions may be rescheduled free of charge within their validity period. If the resort remains open, rain, snow, cold temperatures or travel difficulties alone do not qualify for free rescheduling during the lock-in period.

Cancelling a booking is not the same as receiving a cash refund. The lock-in rules above do not exclude the statutory cancellation and refund rights below. Activities on site remain subject to safety decisions; an activity must not continue unsafely simply because the resort remains open.

TXSNOW-initiated changes & instructor no-shows

SituationSession arrangements & compensation
Notice at least 24 hours in advanceA suitable replacement instructor may teach at the original time and location with the student’s consent. If the student will accept only the original instructor, rescheduling or leaving the session unscheduled may be agreed. No additional compensation is provided.
Notice of a change less than 24 hours in advanceThe original session is retained, plus 1 additional session of the same type and duration as compensation. The additional session remains due even if the student switches to an unreserved session or a replacement instructor delivers the original session.
Instructor no-showThe instructor is late by the full duration of the session, or fails to deliver the session throughout the original time slot: the original session is retained, plus 2 additional sessions of the same type and duration as compensation.
Lateness that does not amount to a no-showCompensation equals twice the delay attributable to TXSNOW or the instructor. It should be provided on the same day where possible; otherwise, TXSNOW Support records the time to be provided later.

Lateness example

For a session booked from 09:00–11:00, an instructor who starts at 09:10 owes 20 minutes of compensation. If provided that day, the session continues until 11:20. Otherwise, the session ends at 11:00 and 20 minutes of compensation is recorded separately. Compensatory session time is valid for 24 months from the date TXSNOW decides to provide it. TXSNOW Support records that decision date and the expiry date in writing and coordinates bookings.

Choosing an unreserved session

After a TXSNOW-initiated change, a student who still wants to find a replacement instructor may choose an unreserved session. If travel plans need to be settled in advance and time permits, the search continues until 9 p.m. on the day before the session. A student staying at the resort all day may provide an available time window, and the search continues until that window ends. Once a suitable instructor is found, both parties must reconfirm before the session begins.

While waiting for a match, the 24-hour lock-in rule does not apply and the student may end the search at any time. Unused session time is retained whether no match is found or the student ends the search. Waiting itself does not create additional compensation, but it does not cancel compensation already due because notice of the change was given less than 24 hours in advance. Once a new time slot is confirmed, the confirmed-booking rules apply again.

Refunds & statutory consumer rights

Statutory rights take precedence

The provisions in this agreement concerning no refunds, rescheduling or make-up time, fees, validity periods and limits on compensation do not exclude rights given to the purchaser by applicable law. Where the agreement falls within Ontario’s rules for a Personal Development Services Agreement, the purchaser may cancel without giving a reason within 10 days after the later of receiving a written copy of the contract and the date all services are available. An extended cancellation right may apply in circumstances such as failure to provide a compliant contract copy as required by law.

Refund arrangementConditions & processing
Single-session refundsA refund may be requested within 24 hours after payment, provided the session starts at least 72 hours later. The fee below is deducted. Refund requests are no longer accepted more than 24 hours after payment; unused sessions remain valid for 24 months from purchase.
Prepaid multi-session Combo refundsPrepaid Combos of 5, 10, 20 or other numbers of sessions have a 10-calendar-day cooling-off period from the payment date under TXSNOW’s commercial refund policy. During that period, a refund may be requested for an unused Combo, less the fee below. For commercial refunds, a Combo is considered to have been started when any session is actually used or any confirmed booking enters the 24-hour lock-in period. Commercial refunds are not accepted after that point or after 10 days. Remaining unused sessions are valid for 24 months from purchase. Applicable statutory cancellation and refund rights do not automatically end because a booking is locked in or sessions have begun.
Refund fees & processingCommercial refunds for single sessions and Combos are subject to a fee of 5% of the total payment for the session order being refunded, plus CAD 20. The deduction will not exceed the refundable amount. Approved refunds are generally sent to the original payer by Interac e-Transfer within 3–5 business days. These commercial refund fees do not apply to refunds made when a statutory cancellation right is exercised; those refunds are processed for the amount and within the time required by law.

Images, privacy & data

Session records

With express consent, session photos, videos and post-session feedback are used to deliver sessions, record learning and support continuity between ski seasons, and are included in the guest’s service record. They are kept for as long as needed for these purposes and reviewed regularly. When no longer needed, they are deleted or irreversibly anonymised, unless retention is required by law.

Communication & access

Instructors and staff access information as needed to provide the agreed services. Do not post an individual student’s health information in a group chat that includes different families. Personal images must not be posted there without permission. Use private communication or restricted links instead. Communication, payment and technical services may involve processing outside Canada. Retention arrangements and ways to exercise privacy rights are explained in the Guest & Website Visitor Privacy Policy.

Your choices about images & recordings

If you do not want photos or videos taken, or wish to withdraw consent to recording or storage, contact TXSNOW Support before purchase or as soon as possible so reasonable alternative delivery arrangements can be assessed. Public use of photos, videos or audio that identify a student requires separate, specific promotional consent. You may refuse or withdraw that consent without affecting ordinary session purchases. Consent for session purposes is not consent to publicity or indefinite marketing use.

Privacy contact

Contact admin@t-xsnow.com to request access or correction, withdraw consent or make a complaint. Records needed for legally required retention, incident handling or unresolved disputes are kept in accordance with the privacy policy and legal requirements.

09

Risks & scope of liability

Risks of participation

Skiing, snowboarding and activities on snow involve risks including falls, collisions, changing weather, lifts and other hazards that may cause serious injury. Students must read the applicable Waiver and follow safety requirements. No session, qualification, companionship service or commercial insurance guarantees that an accident will not occur.

Limits on liability

To the extent permitted by law, monetary liability directly connected with the disputed session in an ordinary contractual dispute is limited to the amount actually paid for that session. Liability does not automatically extend to independently arranged transportation, accommodation, lift tickets, rentals or other third-party costs, or to other indirect losses. This limit does not affect the express commitments in this agreement to retain the original session and provide additional compensation. It also does not apply to liability that cannot legally be excluded or limited.

Exceptions

This agreement does not seek to use no-refund or no-make-up provisions, risk warnings or limits on compensation to exclude liability arising from personal injury, death, fraud, wilful misconduct, gross negligence or breach of a statutory duty that cannot be excluded. Whether a Waiver applies and is enforceable is determined by law. A guardian’s signature does not automatically waive a child’s legal rights.

10

Notices, contact & governing law

TXSNOW Support

WeChat: TXSNOW_OFFICIAL; email: info@t-xsnow.com

Notices & records

Session arrangements are sent through the confirmed group chat, email or another agreed channel. Please keep your contact details current. For urgent changes, telephone contact should also be attempted wherever possible.

Governing law & disputes

The laws of Ontario and applicable federal laws of Canada apply. The parties may first try to resolve matters through discussion, but negotiation is not a prerequisite to making a complaint or bringing a legal action. Disputes are dealt with by a court of competent jurisdiction.

11

Updates & severability

After a new version is officially published and provided before acceptance, it applies to new orders entered into under that version. Material changes to existing orders require notice and any necessary consent as required by law. Updating the website alone must not retroactively reduce purchased session time, refund rights or compensation already due.

If a provision of this agreement is invalid or unenforceable, the remaining provisions that can operate independently are unaffected.
